Terms of use
Plain terms for a marketplace that facilitates transactions between its members. Coda Exchange is not a party to any catalog transfer and is not a law firm.

Eligibility
Accounts are open to anyone aged 18 or over. Listing a catalog additionally requires completed PRO and distributor verification.
Seller warranties
By listing, a seller warrants that they control the rights offered, that the declared splits are accurate and confirmed, that any samples are cleared, and that the rights are free of undisclosed encumbrances.
Offers and agreements
Offers are binding expressions of intent for the duration of the offer window. Acceptance creates a deal memo between the parties. The memo records the parties' terms; the parties remain responsible for their own counsel, tax treatment and registration of transfers.
Fees
No upfront fees. 7.5% per side of the deal value is charged at close — 15% in total. Fees are stated in US dollars.
Prohibited conduct
No misrepresentation of ownership, no listing of rights already sold or pledged, no bidding on your own listing, no attempts to move an initiated deal off-platform to avoid fees, and no use of previews outside the gated player.
Suspension and removal
We may pause, reject or force-close a listing where verification fails, a third party asserts a competing claim, or these terms are breached. Where a deal is force-closed before completion, the success fee is not charged.
Disputes
Disputes over ownership or performance of a transfer are between the parties. We will provide the listing's audit trail, split confirmations and signed memo to either party on request.
